1. Acceptance of Terms

By accessing and using Knock Knock Verify, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our service.

2. Interpretation

The following definitions and rules of interpretation apply to the contract.

2.1 Definitions

Applicable laws: all relevant laws, rules, regulations, industry standards, codes of practice, guidance's issued by regulatory authorities, as amended from time to time and as applicable in England and Wales.

Business day: a day (other than a Saturday, Sunday or a public holiday) when banks in London are open for business.

Commencement date: has the meaning set out in clause 2.2.

Conditions: these terms and conditions as amended from time to time in accordance with clause 18.10.

Contract: the contract between 'Knock Knock Verify' and the customer for the supply of goods and/or services in accordance with these conditions and any specification.

Customer: the person or firm who purchases the goods and/or services from 'Knock Knock Verify'.

Customer default: has the meaning set out in clause 8.2.

Data controller: has the meaning set out in the data protection legislation.

Data processor: has the meaning set in the data protection legislation.

Data protection legislation: means all applicable data protection and privacy legislation in force from time to time including in particular:

  • The General Data Protection Regulation as enacted into English law by the EU (Withdrawal) Act 2018 and as amended by the Data Protection Act 2018, Privacy and Electronic Communications (Amendments etc.) (EU Exit) Regulations 2019 (UK GDPR) and as revised and superseded from time to time
  • The Data Protection Act 2018 (DPA 2018) and as revised and superseded from time to time
  • Privacy and Electronic Communications Regulations 2003 and as revised and superseded from time to time
  • Any other legislation and regulatory requirements in force from time to time which apply to a Party relating to the use of Personal Data (including, without limitation, the privacy of electronic communications)
  • The guidance and codes of practice issued by the Information Commissioner's Officer or other competent data protection or supervisory authority
  • Expressly includes the common law duty of confidentiality

Data subject: an individual who is the subject of personal data.

Deliverables: the deliverables set out in the specification.

Delivery location: has the meaning set out in clause 4.1.

Domestic UK law: The data protection legislation and any other law that applies in England and Wales.

Force majeure event: any circumstances not within a party's reasonable control including without limitation:

  • Acts of God, flood, drought, earthquake or natural disaster; epidemic or pandemic
  • Terrorist attack, civil war, civil commotion or riots, war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, or breaking off of diplomatic relations
  • Nuclear, chemical, or biological contamination or sonic boom
  • Any law or any action taken by a government or public authority, including without limitation imposing an export or import restriction, quota or prohibition
  • Collapse of buildings, fire, explosion, or accident
  • Any labour or trade dispute, strikes, industrial action or lockouts
  • Non-performance by suppliers or subcontractors
  • Interruption or failure of utility service

Goods: the goods (or any part of them) set out in the specification.

Intellectual property rights: all patents, rights to inventions, utility models, copyright and related rights, trademarks, service marks, trade, business and domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer software, database right, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

Personal data: has the meaning set out in the data protection legislation.

Services: the services, including the deliverables, supplied by 'Knock Knock Verify' to the customer as set out in the specification.

Specification: any document, howsoever described, including but not limited to, a quote or an order, containing the description for the services and/or goods, including any relevant plans, or drawings, and/or the cost for the services and/or goods provided in writing by 'Knock Knock Verify' to the customer.

2.2 Interpretation

  • A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality)
  • A reference to a party includes its authorised representatives, successors or permitted assigns
  • A reference to legislation or legislative provision is a reference to such legislation or legislative provision as amended or re-enacted. A reference to legislation or a legislative provision includes any subordinate legislation made under that legislation or legislative provision, as amended or re-enacted
  • Any words following the terms 'including', 'include', 'in particular', 'for example' or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words preceding those terms
  • A reference to writing or written includes faxes and e-mails

3. Basis of contract

3.1 Upon request, 'Knock Knock Verify' shall supply to the customer a specification. The specification constitutes an offer by 'Knock Knock Verify' to supply goods and/or services in accordance with these conditions.

3.2 The specification shall only be deemed to be accepted on the earlier of:

  • (a) 'Knock Knock Verify' receiving a written acceptance of the specification, including but not limited to countersigning the specification, from the customer;
  • (b) any act by 'Knock Knock Verify' consistent with fulfilling the specification, at which point and on which date the contract shall come into existence (commencement date).

3.3 The contract and the specification constitutes the entire agreement between the parties. The customer acknowledges that it has not relied on any statement, promise or representation made or given by or on behalf of 'Knock Knock Verify' which is not set out in the contract or the specification.

3.4 Any samples, drawings, descriptive matter or advertising issued by 'Knock Knock Verify' and any descriptions of the goods or illustrations or descriptions of the services contained in Knock Knock Verify website or leaflet/brochure are issued or published for the sole purpose of giving an approximate idea of the services and/or goods described in them. They shall not form part of the contract or have any contractual force.

3.5 These conditions apply:

  • (a) to the contract with the customer for the supply of goods and/or services by 'Knock Knock Verify' to the customer unless agreed otherwise in writing with the customer;
  • (b) to the exclusion of any other terms that the customer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

3.6 Any specification given by 'Knock Knock Verify' is only valid for a period of 30 business days from its date of issue.

3.7 Acceptance by the customer of delivery of the goods and/or performance of the services shall be deemed to constitute unqualified acceptance of these conditions and these conditions shall apply even in the absence of a written specification.

3.8 'Knock Knock Verify' reserves the right to perform its obligations under these conditions regarding the supply of goods and/or services at any of its premises notwithstanding any representations made to the customer that such work would be carried out at a specified premise.

3.9 If, subsequent to any agreement which is subject to this contract, an agreement for the provision of goods and/or services is made with the same customer without reference to any conditions of sale and/or supply, such agreement howsoever made shall be deemed to be subject to this contract.

3.10 The duration of the contract shall be set out in the specification (12 months).

3.11 All of these conditions shall apply to the supply of both goods and services except where application to one or the other is specified.

4. Service Description

Knock Knock Verify is an employee verification system that provides QR code-based identity verification services. Our service allows companies to create employee profiles with QR codes that can be scanned to verify employee identity and status.

5. User Responsibilities

  • Provide accurate and up-to-date employee information
  • Maintain the security of your account credentials
  • Use the service only for legitimate business purposes
  • Comply with all applicable laws and regulations
  • Not attempt to circumvent security measures

6. Privacy and Data Protection

We are committed to protecting your privacy and personal data. Employee information is stored securely and only shared as necessary for verification purposes. Public QR code profiles only display information that companies have explicitly made public.

7. Subscription and Payment

Knock Knock Verify offers subscription-based plans with different features and employee limits. Subscription fees are billed in advance and are non-refundable except as required by law.

  • Monthly and annual billing options available
  • Prices may change with 30 days notice
  • Auto-renewal unless cancelled
  • No refunds for partial months

8. Prohibited Uses

You may not use our service for any illegal or unauthorized purposes, including:

  • Creating fake employee profiles
  • Using the service for fraudulent activities
  • Attempting to hack or compromise our system
  • Violating any applicable laws
  • Infringing on intellectual property rights

9. Service Availability

We strive to maintain high service availability but cannot guarantee 100% uptime. We may temporarily suspend the service for maintenance, updates, or other technical reasons. We are not liable for any losses resulting from service interruptions.

10. Intellectual Property

All content, features, and functionality of Knock Knock Verify are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks or copyrighted material without our express written permission.

11. Limitation of Liability

To the maximum extent permitted by law, Knock Knock Verify shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of our service.

12. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms. Upon termination, your right to use the service will cease immediately.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Your continued use of the service constitutes acceptance of any changes.
